There are also some LSs that have one (the shell holder) or two people just hold absolute power in deciding who can be in the LS. Either way, it is usually better to have no more 2-3 people to decide who should be in or out. It may sound like a dictorship, but I think LSs like that tend to be more successful (when leadership is well defined).
About rule of conduct... There is a ancient Chinese phrase:
"Let reduce the law only to three!"
(It is actually said by the first emperor of Han Dynasty)
Rules are better to simple and straightforward + one extra important rule:
"LS leaders reserve the right to remove certain members for reasons outside the rule of conduct."
